These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and PepCell (“PepCell,” “we,” “us,” or “our”), governing your access to and use of the website located at pepcell.shop (the “Site”) and any purchase of products through the Site (collectively, the “Products”). By accessing the Site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and our Shipping Policy. If you do not agree to these Terms, you must not access the Site or purchase any Products.
1. Nature of Products — Laboratory Research Use Only
All Products offered for sale on the Site are sold and intended exclusively for in-vitro laboratory research use by qualified researchers, laboratories, and institutions. The Products are not drugs, dietary supplements, cosmetics, or medical devices, and are not intended for human consumption, human use, veterinary use, animal consumption, or any form of internal or external application to a human or animal body. No Product sold by PepCell has been evaluated or approved by the U.S. Food and Drug Administration (“FDA”) or any equivalent regulatory authority, and none is intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. By purchasing from PepCell, you represent and warrant that you are acquiring Products solely for legitimate in-vitro laboratory research purposes conducted by a qualified researcher, laboratory, or institution.
2. Eligibility to Purchase
To purchase Products from the Site, you must: (a) be at least twenty-one (21) years of age; (b) have the legal capacity to enter into a binding contract; (c) be a bona fide researcher, laboratory professional, or representative of a research institution or organization purchasing Products solely for in-vitro laboratory research; and (d) not intend, and not permit any third party, to use the Products for human or veterinary consumption or application. PepCell reserves the right to request verification of your qualifications and to refuse, cancel, or suspend any order or account where it reasonably believes these eligibility requirements have not been met.
3. Account Registration
You are responsible for providing accurate, current, and complete information when creating an account or placing an order, and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. PepCell reserves the right to suspend or terminate any account that provides false or misleading information, including misrepresentation of researcher qualifications or intended use of Products.
4. No Medical, Therapeutic, or Wellness Claims
Nothing on the Site constitutes medical, therapeutic, or health advice, and no statement regarding any Product should be interpreted as a claim that the Product is safe or effective for any use in or on the human or animal body. Any research areas, scientific literature, or study references described on the Site are provided for general informational purposes relevant to laboratory research only and do not constitute an endorsement of any personal, cosmetic, therapeutic, or wellness use.
5. Orders, Pricing & Payment
All orders are subject to acceptance and availability. PepCell reserves the right to refuse, limit, or cancel any order at its sole discretion, including where we suspect a Product will be used for non-research purposes. Prices are listed in U.S. dollars and are subject to change without notice. Promotional discount codes, where offered, apply only under the specific terms disclosed at the time of the offer and are subject to change or discontinuation. Payment must be made in full through an accepted payment method at checkout before an order is processed.
6. Shipping & Delivery
Shipping timeframes and methods are described in our Shipping Policy. Risk of loss and title to Products pass to you upon our delivery to the shipping carrier. PepCell is not responsible for delays caused by carriers, customs, or circumstances beyond our reasonable control.
7. Returns, Refunds & Cancellations
Returns, refunds, and order cancellations are governed by our Refund Policy, which is incorporated into these Terms by reference. Because Products are research compounds intended for laboratory use, additional handling and eligibility restrictions may apply as described in that policy.
8. Customer Responsibility & Compliance with Law
You are solely responsible for ensuring that your purchase, possession, handling, storage, and use of any Product complies with all applicable local, state, federal, and international laws and regulations, including those governing research chemicals and laboratory substances in your jurisdiction. PepCell makes no representation as to the legality of possessing or using any Product in your specific jurisdiction, and you assume all risk and responsibility in that regard.
9. Prohibited Uses
You agree not to: (a) purchase, use, or permit the use of any Product for human or veterinary consumption or application; (b) resell, redistribute, or represent any Product as suitable for human or animal use, cosmetic use, or as a dietary supplement; (c) misrepresent your identity, age, or qualifications as a researcher; or (d) use the Site for any unlawful purpose. PepCell reserves the right to refuse service to anyone it reasonably believes intends to use Products in violation of these Terms.
10. Intellectual Property
All content on the Site, including text, graphics, logos, and Certificates of Analysis templates, is the property of PepCell or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.
11. Disclaimer of Warranties
Except as expressly stated in our Refund Policy, Products are provided “as is” for laboratory research purposes without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose. PepCell does not warrant that Products are suitable for any use other than in-vitro laboratory research by qualified personnel.
12. Limitation of Liability
To the fullest extent permitted by law, PepCell shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or relating to your purchase, possession, or use (or misuse) of any Product, or your access to or use of the Site, even if PepCell has been advised of the possibility of such damages. PepCell’s total liability for any claim arising from these Terms shall not exceed the amount you paid for the Product(s) giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless PepCell and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misrepresentation of your eligibility or intended use of any Product, or your unlawful use or handling of any Product.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.
15. Changes to These Terms
PepCell may update these Terms from time to time to reflect changes in our practices or for legal, regulatory, or operational reasons. The “Last Updated” date at the top of this page indicates when these Terms were last revised. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
